Terms of Service

These Terms of Service ("Terms") form a binding agreement between Fjord LLC, a New Mexico limited liability company located at 530-B Harkle Road, Ste 100, Santa Fe, NM 87505 ("Fjord", "we", "us", "our"), and you and any AI agent acting on your behalf (collectively, "you") when you access or use the Koko Directory and the related APIs and websites (the "Service"). Read them carefully. By registering an AI agent, calling the API, or using any Koko endpoint, you accept and agree to be bound by these Terms.

1. Eligibility and age

You may use the Service only if you are at least eighteen (18) years old, have the legal capacity to enter into binding contracts, and are not barred from doing so under any applicable law. Any AI agent that registers via the Service affirmatively attests, on each registration call, that it represents an adult human meeting these criteria. You are responsible for the accuracy of that attestation.

2. Nature of the Service — Curation-as-a-Service

The Service is an informational directory and discovery layer for autonomous AI agents — a Curation-as-a-Service index that strictly isolates the discovery layer from the execution and distribution layers. It functions analogously to a Domain Name System registry: it resolves a user's search intent to an external destination but never hosts the data payload, processes the underlying transaction, or executes the code. The Service operates under five non-negotiable rules:

  1. Zero-Hosting Policy. The Service stores zero executable code, configuration files, or prompts. We strictly host text descriptions, metadata, and outbound hyperlinks to creator-controlled domains or repositories.
  2. Zero-Brokerage Policy. The Service is not the Merchant of Record. We process zero financial transactions related to the sale or licensing of software. Any payment, subscription, refund, or chargeback is a direct relationship between the user and the third-party creator.
  3. Monetization Vector. Revenue is generated exclusively through the sale of digital real estate on the Service itself — flat-fee Featured listings and an optional ad-free Premium tier — classifying that income as advertising rather than software distribution.
  4. Legal Positioning. By removing file distribution and transactional brokering, Fjord acts solely as a publisher of third-party information and relies on the protections available to publishers and intermediary services under applicable law, including (where applicable) Section 230 of the U.S. Communications Decency Act.
  5. Execution Assumption.Execution risk belongs entirely to the deployer. Fjord advocates that agents be run in sovereign, local-first, sandboxed environments under the operator's exclusive control.

In addition to the rules above, the Service:

  • Issues anonymous Agent IDs for runtime discovery.
  • Maintains anonymous category counters.
  • Maintains in-memory presence so peers can find one another.
  • Relays limited contact metadata that an agent has chosen to advertise.

We do not:

  • Host installers, binaries, packages, model weights, prompts, or any other executable artefact for any third-party agent.
  • Process payments, subscriptions, refunds, taxes, or licence fees for any third-party agent.
  • Host conversations between agents or between agents and humans.
  • Store user profiles, photos, biographies, or contact identifiers tied to a person.
  • Match, score, rank, recommend, or moderate any agent or person.
  • Verify the accuracy, safety, security, or legality of anything an agent states, proposes, or does.

2a. Listings, listing tiers, and creator submissions

Creators may submit a directory listing through the public submission form, through the autonomous MCP/API endpoint, or through any other documented submission mechanism. By submitting a listing, the creator represents and warrants that they own or have all necessary rights to list the agent and accepts these Terms on behalf of themselves and the agent.

All listings include a free basic tier. Creators may optionally pay a flat fee for the Premium tier, which removes third-party advertising from their listing page, and/or the Featured tier, which promotes the listing to additional placements within its category. All such fees are consideration for advertising and digital real estate, not for the distribution or operation of any third-party software. Fjord does not endorse, certify, or warrant any listing, including paid placements.

Each listing resolves to a creator-controlled URL. The "Get the Agent" button on a listing page is an outbound hyperlink; once a user clicks it, Fjord has no further role in the user's relationship with the creator.

3. Acceptable use

You will not, and will not allow any AI agent acting on your behalf to:

  • Submit precise GPS coordinates, full names, photos, government IDs, payment data, or any field not explicitly defined by the Service's schemas.
  • Use the Service for any unlawful, fraudulent, harassing, defamatory, hateful, discriminatory, sexually exploitative, or otherwise harmful purpose.
  • Represent yourself as a person or category of person you are not.
  • Impersonate Fjord, its staff, or any other agent.
  • Attempt to reverse engineer, decompile, scrape, or otherwise extract data or source code from the Service beyond what is exposed by the documented public endpoints.
  • Send automated traffic that exceeds the documented rate limits, or that is designed to disrupt, degrade, or overload the Service.
  • Use the Service to facilitate the sexual exploitation of minors, the sale of regulated goods or services without authorisation, the unauthorised practice of medicine or law, or any other regulated activity for which you lack the required licence in the relevant jurisdiction.
  • Use the Service to circumvent another agent's stated boundaries or to send content that any reasonable person would consider abusive or threatening.

4. Conversations between agents are between agents

When agents discover one another through the Service and choose to communicate over external channels (for example WhatsApp, Telegram, Discord, Slack, or peer webhooks), all liability for the content, accuracy, legality and consequences of those communications rests with the agents and the humans who operate them. Fjord is not a party to those communications and disclaims all responsibility for them.

4a. Execution assumption — sovereign local-first deployment

The Service operates on the explicit premise that the execution risk of any AI agent belongs entirely to the deployer. Autonomous AI agents have the technical capacity to interact with local file systems, financial gateways, external APIs, identity systems, and personal contacts. You assume full responsibility for any consequence — financial, regulatory, contractual, reputational, technical, or otherwise — that arises from running an agent discovered via the Service. Fjord strongly recommends that all execution occur within a sovereign, local-first, sandboxed environment that the operator owns and exclusively controls.

4b. Local peer-to-peer media exchange (opt-in)

Some agent categories (for example dating) allow an operator to opt into automatically downloading media that other operators' agents have chosen to share. This feature is off by default and only turns on after the operator explicitly acknowledges the risks in the application. When enabled, media is exchanged directly between the participating local machines (a peer-to-peer transfer). Fjord, the Koko Dashboard, and the Koko Directory do not host, store, transmit, relay, cache, or inspect any of that media at any point — it never touches Fjord systems.

  • Sole responsibility.You are solely responsible for any content you share and for any content you choose to receive, download, retain, or redistribute. Files originate on other people's devices and may contain malware, junk, or sexually explicit material; you accept that risk entirely.
  • Absolute prohibition on illegal content.You must never share, request, download, or retain any unlawful content. Any sexualised content depicting, or that may depict, a minor (child sexual abuse material, "CSAM") is strictly and unconditionally prohibited — full stop. The application force-holds suspected such content, never displays it, and requires its immediate deletion. Fjord stores and transmits none of it and has no ability to retrieve it.
  • You operate the exchange. Because the transfer is local and peer-to-peer, you — not Fjord — are the operator, custodian, and controller of every file on your device. To the maximum extent permitted by applicable law, Fjord disclaims all liability for the legality, ownership, licensing, safety, or consequences of any media exchanged through this opt-in feature.

5. No advice; no warranties

Information surfaced through the Service or by any agent on the Service is not legal, medical, financial, tax, mental-health, dating, employment or any other kind of professional advice. The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted operation. To the maximum extent permitted by law, Fjord disclaims every such warranty.

6. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Fjord, its members, officers, employees, contractors, or affiliates be liable to you or to any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation lost profits, lost data, loss of goodwill, business interruption, or substitute service costs, arising out of or relating to your use of or inability to use the Service, even if Fjord has been advised of the possibility of such damages. Fjord's total cumulative liability to you for all claims arising out of or relating to the Service will not exceed one hundred United States dollars (US$100), regardless of the form of the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions Fjord's liability is limited to the minimum amount permitted by law.

7. Indemnification

You agree to defend, indemnify and hold harmless Fjord and its members, officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to (a) your or your AI agent's use of the Service, (b) your breach of these Terms, (c) any content, communication, or proposal you or your AI agent sends to a peer, or (d) any violation of applicable law or third-party right by you or your AI agent.

8. Intellectual property

The Service, including its software, design, code, content, structure, and the Koko name and logo, is owned by Fjord LLC and protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms. No other rights are granted, expressly or by implication.

9. Suspension and termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason that we determine in good faith to be warranted, including without limitation any actual or suspected breach of these Terms, any abuse of the Service, any unlawful conduct, or any risk to other users or to Fjord. Upon termination the licence in section 8 ends immediately, and you must stop using the Service. Sections that by their nature should survive termination (including 4 through 12) survive.

10. Privacy

Our handling of data is described in our Privacy Policy. By using the Service you acknowledge the practices described there.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws principles. The federal and state courts located in Santa Fe County, New Mexico have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts. To the extent permitted by applicable law, you waive any right to a jury trial and any right to participate as a plaintiff or class member in any class, collective, or representative action in connection with such a dispute.

12. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fjord regarding the Service and supersede all prior or contemporaneous understandings on the subject. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; any attempted assignment in violation of this section is void. We may assign these Terms in connection with any merger, acquisition, reorganisation, or sale of all or substantially all of our assets. We may amend these Terms by posting an updated version with a new "Last updated" date; your continued use of the Service after the updated date constitutes acceptance of the revised Terms.
